AI is seen as a critical tool by directors and boards at staying ahead of competitors and improving operational efficiencies.
Directors, senior leaders and their boards play a critical role in utilising AI for the success of their business, but also ensuring clear governance oversights are in place.
Strong AI governance is no longer optional - it is central to safeguarding competitiveness, public trust, and organisational resilience.
The use of AI tools is growing in organisations. Boards must now ensure they have the literacy, guardrails, and oversight mechanisms required to deploy AI responsibly.
The AI Governance Toolkit is a practical suite of resources designed to support directors in providing effective oversight of artificial intelligence (AI) within their organisations. While the responsibility for implementing AI policies and operational controls rests with executive management, the toolkit offers directors insight into the types of frameworks, processes, and information that organisations should have in place to manage AI responsibly. It helps boards ask informed questions, identify emerging risks such as Shadow AI, strengthen governance structures, assess organisational readiness, and anticipate future developments in AI.
Over the coming weeks, we will introduce a series of five tools, each building on the question raised by the previous step.
We begin with the Shadow AI Audit. Recent research by IoD Ireland shows that 61% of Irish organisations have already implemented AI to some degree. Yet in many cases boards and leadership teams have limited visibility of what tools employees are using, what data may be passing through them, and critically why they are being used in the first place.
The Shadow AI Audit helps organisations identify where employees are already using AI tools informally, understand the associated governance and data risks, and turn those insights into clear actions for the board and leadership team. It provides a simple way to move from uncertainty to structured oversight in an area that is already shaping how work gets done across organisations. The inventory covers all AI types - not just generative AI - and is ready to report to whoever governs your organisation. This resource is now available below, exclusively for IoD Ireland members.
