Workshop on The Role of the Company Secretary

This one-day workshop on the Role of the Company Secretary will be presented by corporate governance expert, George Bartlett.

What do I gain from this workshop?

• A better understanding of the legal structure of a company.
• A deeper knowledge of the role of the company secretary and how that role fits in with the role of the board and its directors.
• An update on current best practice for managing the tasks of the company secretary.

• Introduction: What is a company? How is a company created? The company’s officers, the board’s role, board committees, the company secretary’s role, Company Registration Office
• Board meetings: Companies Act requirements, relevant provisions in the company’s articles of association, best practice at board meetings
• General (shareholder) meetings: Companies Act requirements, different types of shareholder resolutions, best practice at general meetings
• Legal Aspects: Who is a director? Directors’ authority, directors’ duties, appointment of directors, removal / resignation of directors

George Bartlett has been a company director for over thirty years. For more than a decade he was also Group Company Secretary of a listed company headquartered in the UK, with manufacturing operations in six European countries, serving on the boards of all of its principal subsidiary companies. Since 2002, he has been a self-employed consultant specialising in corporate governance and risk management.

IoD workshops may be eligible for CPD, including Chartered Director CPD. Please check with your relevant professional body. IoD workshops are admissible as part of the Chartered Institute for Securities & Investment (CISI) CPD scheme and would count towards “Active” learning. Workshops may also be eligible for CPD with Chartered Accountants Ireland, the Law Society of Ireland, the Institute of Banking, the Insurance Institute of Ireland, and the Life Insurance Association. The workshop cost is €425 ex VAT for IoD members/€485 ex VAT for non-members.

Places can only be confirmed on receipt of full payment. Cancellations will be accepted if received in writing by Thursday, 26th September 2019. However, there will be a 50% cancellation charge. All fees are forfeited thereafter. Workshop fees are also non-transferrable.
