AI Governance: Board Oversight and Accountability

27 May 2026 9:30am - 12:30pm

Develop the board skills needed to ensure effective AI oversight and accountability.

Artificial intelligence (AI) is now embedded, formally and informally, across many organisations. Yet for boards and directors, expectations around oversight, accountability, and stewardship of AI-enabled activity remain unclear and inconsistently addressed.

IoD Ireland research, published in March 2026, found that while directors and business leaders recognise the transformative potential of AI, the pace of adoption is outstripping the development of governance, skills, and regulatory preparedness. To support members and directors in this space, we have developed this new dedicated workshop, 'AI Governance: Board Oversight and Accountability'.

This workshop provides a structured forum for directors to consider what good governance looks like when AI is in use. It focuses squarely on the board's role: how directors satisfy themselves that appropriate oversight is in place, that accountability is clear, and that AI use aligns with long-term organisational interests and responsibilities.

This is not a technical session, nor an introduction to AI. It is a governance-first conversation for experienced directors navigating a complex and shifting landscape.

Who is this workshop for?

This session is designed for those with direct responsibility for oversight and governance, including:

  • Board directors and non-executive directors
  • Senior leaders with board-level governance repsonsibiltiies
  • Executives preparing for non-executive or committee roles
  • Governance professionals supporting board decision-making

It will be most relevant to participants who already engage with AI-related issues at board or committee level and are seeking greater clarity and confidence in their oversight role.

What will Participants Learn from this Workshop?

Through facilitated discussion and realistic case scenarios, participants will explore:

  • The board's role in governing AI use and related decision-making.
  • How accountability for AI-enabled activity is defined, tested, and sustained.
  • Common governance blind spots, information gaps, and assumptions.
  • The difference between formal structures and effective oversight in practice.
  • The questions directors can use to challenge, probe, and seek assurance.

Rather than prescribing models or tools, the session focuses on strengthening directors' judgement and scrutiny in live governance contexts.

By the end of the session, participants will be able to:

  • Interrogate a management AI proposal and identify where accountability sits.
  • Distinguish between "good-looking" governance and effective governance in practice.
  • Apply a structured set of questions at board level to test AI-related decisions.

Q1. What is the AI Governance: Board Oversight and Accountability workshop about?

This three-hour workshop is structured as a discussion-ledscenario-based session, recognising that AI oversight cannot be addressed through checklists or static frameworks alone.

Positioned firmly within IoD Ireland's governance remit, this workshop offers a grounded, credible space for directors to engage with one of the most challenging oversight questions currently facing boards - without hype, speculation, or technical distraction.

Q2. What can I expect from this workshop?

Participants will work through a plausible governance scenario, supported by an experienced facilitator, to surface practical dilemmas and test how boards respond under uncertainty. The emphasis is on thoughtful interrogation, peer exchange, and developing a personal frame of reference directors can bring back to their own boardroom.

Q3. Who is the faculty lead for this workshop?

The session is led by Ger Perdisatt, AI Advisor, Experienced COO & Board Member. With over 20 years’ experience driving operational performance, digital transformation and strategic growth, Ger has deep expertise in translating strategy into execution at scale and helps boards navigate operational risk, innovation, and AI disruption.
